These Terms & Conditions ("Terms") form a legal agreement between you and Caldoun Capital Inc. ("Caldoun", "we", "us", "our") governing your access to and use of the website and any related content, materials, forms or communications (collectively, the "Site").

By accessing or using the Site you confirm that you have read, understood and agree to be bound by these Terms, together with our Privacy Policy, Cookie Policy, Website Disclaimer, Financial Services Disclaimer and Risk Disclosure. If you do not agree, you must not use the Site.

1. Eligibility and territorial scope

The Site is directed to residents of Canada and to other persons in jurisdictions where its content may lawfully be accessed. It is not directed to any person in any jurisdiction where publication or availability of the Site would be contrary to local law.

Certain content, opportunities or services referenced on the Site may be available only to persons who qualify as "accredited investors", "permitted clients" or under other prospectus and registration exemptions available under National Instrument 45-106 and other applicable Canadian securities laws. We may verify the information you provide, including by performing identity, source-of-funds, sanctions and other checks required under our AML/CTF Policy and KYC Policy or applicable law. We may decline to accept or continue any application or relationship at our sole discretion.

4. Intellectual property

All content on the Site — including text, imagery, graphics, logos, layout, design, code, data compilations and downloadable materials — is owned by or licensed to Caldoun Capital Inc. and is protected by Canadian and international copyright, trademark and other intellectual-property laws.

You are granted a limited, revocable, non-exclusive, non-transferable licence to view and, where expressly permitted, download and print pages of the Site for your personal, non-commercial reference only. You may not otherwise copy, reproduce, republish, upload, post, transmit, distribute, sell, licence or exploit any part of the Site without our prior written consent.

The names, logos and marks appearing on the Site (including "Caldoun Capital") are trademarks of Caldoun Capital Inc. or its licensors and may not be used without prior written permission.

5. Acceptable use

You agree not to: (a) use the Site in any way that breaches applicable law or regulation; (b) attempt to gain unauthorised access to the Site, its servers, or any connected system or network; (c) probe, scan or test the vulnerability of the Site or bypass any security or authentication measure; (d) introduce viruses, malware or other harmful code; (e) use the Site to send unsolicited communications; (f) scrape, harvest or extract data by automated means without our prior written consent; (g) impersonate another person or misrepresent your affiliation with any person; or (h) use the Site in any manner that could damage, disable, overburden or impair it.

The Site may contain references or links to third-party websites, resources or content. We do not control, endorse or assume responsibility for third-party content and provide such references solely for convenience.

7. Disclaimers

The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we make no representations or warranties of any kind, whether express, implied, statutory or otherwise, including as to accuracy, completeness, reliability, currency, non-infringement, merchantability or fitness for a particular purpose.

We do not warrant that the Site will be uninterrupted, secure or error-free, that defects will be corrected, or that the Site or the server that makes it available are free of viruses or other harmful components.

8. Limitation of liability

To the fullest extent permitted by applicable law, Caldoun Capital Inc., its affiliates, directors, officers, employees, agents and representatives shall not be liable for any direct, indirect, incidental, special, consequential, exemplary or punitive damages, or any loss of profits, revenue, business, goodwill, data or use, arising out of or in connection with your access to or use of, or inability to access or use, the Site or any content on it, whether based in contract, tort (including negligence), statute or otherwise, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded under applicable law, including liability for fraud or fraudulent misrepresentation.

9. Indemnity

You agree to indemnify and hold harmless Caldoun Capital Inc. and its affiliates, directors, officers, employees and agents from and against any claim, loss, liability, cost or expense (including reasonable legal fees) arising out of or in connection with your breach of these Terms or your misuse of the Site.

10. Force majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from causes beyond our reasonable control, including acts of God, natural disaster, pandemic, war, terrorism, civil unrest, government action, labour disruption, power or telecommunications failure, or failure of the internet or third-party service providers.

11. Changes to the Site and these Terms

We may modify, suspend or discontinue any part of the Site at any time without notice. We may also amend these Terms from time to time; the version in force at the time you access the Site will apply. The "Last updated" date at the top of the page indicates when the Terms were most recently revised.

12. Governing law and jurisdiction
